Today, Alperia Greenpower S.r.l. (“Alperia”), a wholly owned subsidiary of Alperia S.p.A., has signed a sales and purchase agreement with Alerion Clean Power S.p.A. (“Alerion”) involving a 50:50 joint venture for the development and management of a portfolio of wind power plants in Apulia, Italy (the “Agreement”), with a total capacity of approximately 120 MW, of which 62 MW are already operational and 58 MW are under construction.

This initiative is part of the diversification of Alperia Group's activities outlined in its Business Plan and represents the first 50:50 joint venture between two major locally controlled groups operating in the energy sector on a national level and, in the case of Alerion, also on an international market.

More specifically, today Alerion has sold to Alperia a 50% stake in the share capital of Naonis Wind S.r.l., today renamed in Alperion S.r.l. (“Alperion”) which until now had been wholly owned by Alerion. Alperion owns an operating wind farm of 11 MW and in turn holds 100% of the share capital of the following companies (jointly the “Alperion Subsidiaries”): Enermac S.r.l., owner of an operating farm of 51 MW, Bioenergia S.r.l., owner of a farm under construction of about 29 MW, and Generai S.r.l., owner of a farm under construction of about 29 MW: all of the farms are located in the Italian province of Foggia (Apulia).

The purchase price for the acquisition of a 50 percent stake in Alperion is approximately 49.7 million euros. Today, Alperia also acquired 50 percent of the credits resulting from current shareholder loans between Alerion, Alperion and Alperion Subsidiaries for a price of approximately 13.4 million euros.

As part of this industrial partnership, Alerion also granted Alperia the right to acquire, under contractually agreed terms and conditions, 50% of the share capital of companies owning two other wind power projects to be developed in Italy, with a maximum total capacity of approximately 75 MW.
